This downloadable product is offered to you "as is" and free of charge.

Where you are presented with a click-accept license prior to installation, such license for the product is between you and the owner, and may be used only in conjunction with the XP3 Sonim handset. Sonim accepts no liability whatsoever for such downloadable product or its use.

For product that is Sonim branded ("Sonim-branded Software"), the following license terms apply. For avoidance of doubt, product presented with a separate click-accept license is not considered Sonim-branded Software:

Proprietary Rights Provisions: (i) although copyrighted, the Sonim-branded Software is unpublished and embodies valuable trade secrets proprietary to Sonim and/or Sonim's suppliers, (ii) you are prohibited from disassembling, decompiling and reverse engineering of the Sonim-branded Software, (iii) copying of the Sonim-branded Software, except for a reasonable number of back-up copies, is prohibited and (iv) you may not provide access to the Sonim-branded Software to any person for any purpose other than processing your internal data for the intended use of the Sonim-branded Software.

Sonim-branded Software is classified as "Commercial Computer Software" and, if you are a U.S. Government agency, you are acquiring only "Restricted Rights" in the Sonim-branded Software and related documentation.

You agree to not export, license or otherwise transfer the Sonim-branded Software as a standalone product or as bundled with any third party technology to any country where such transfer is prohibited by the United States Export Administration Act, or any successor legislation, or in violation of the laws of any other country.

Notwithstanding anything to the contrary above or in any click-accept license, Sonim hereby certifies that the downloadable product will operate on the Sonim XP3 Handset when used in accordance with Sonim's specifications.

OTHER THAN SONIM'S SPECIFIC CERTIFICATION SET FORTH ABOVE, SONIM DISCLAIMS ALL WARRANTIES AND ANY ASSOCIATED REMEDIES, WRITTEN OR ORAL, EXPRESSED OR IMPLIED. TO THE EXTENT ALLOWED BY LOCAL LAW, SONIM DISCLAIMS ALL IMPLIED WARRANTIES OR CONDITIONS INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
